Dr. Franz Clemens Leisch is a lawyer and partner at HEUSSEN in Munich and a member of the Corporate Practice Group. For over 13 years, Dr. Leisch has advised national and international clients on all matters relating to compliance and corporate governance. After spending eight years as a partner at an international law firm, he joined HEUSSEN in November 2020.
In the area of compliance, his focus lies in the development of compliance management systems and internal control systems, conducting group-wide compliance risk assessments, and implementing processes for the prevention of fraud, corruption, and money laundering. Dr. Leisch has also conducted numerous internal investigations for national and international clients involving corruption, financial sanctions, fraud, money laundering, and discrimination.
His corporate law practice covers the full range of corporate governance issues. He regularly advises management and supervisory boards on liability matters, the business judgment rule, appointment and removal of board members, the drafting of articles of association and rules of procedure, and on issues at the intersection of corporate law and employee participation under the One-Third Participation Act (Drittelbeteiligungsgesetz) and the Co-Determination Act (Mitbestimmungsgesetz), as well as on capital markets law topics such as insider trading, shareholder disclosure obligations, and market manipulation.
Dr. Leisch advises clients across a broad range of industries, with a particular focus on banking and financial services, real estate, healthcare, automotive, consumer goods, and retail.
In the Kanzleimonitor 2020/2021, a nationwide survey conducted by the Institute for Corporate Legal Departments and In-House Counsel, Dr. Leisch together with Prof. Dr. Grützner was ranked as the most frequently recommended lawyer in the field of compliance.
